CIC (Switzerland) is announcing a change to the composition of its Board of Directors. Florence Parly is stepping down as a director to avoid a conflict of interests.
Having served as a director of CIC (Switzerland) for two years, Florence Parly was recently appointed Chair of the Board of Directors of Air-France-KLM. This new directorship at a company that is a client of CIC (Switzerland)’s main shareholder, Crédit Mutuel Alliance Fédérale, gives rise to a conflict of interest according to the relevant corporate governance requirements.
To avoid breaching the principles of independence and compliance, Florence Parly is stepping down as a director with immediate effect. In her role as member of the Board of Directors, she also sat on the Nomination and Remuneration Committee of CIC (Switzerland). This position has been reallocated to Thierry Marais.
The Board of Directors and Management Board of CIC (Switzerland) would like to thank Florence Parly for her commitment and wish her all the best in her new position.
The Board of Directors of CIC (Switzerland) now comprises the following nine members:
- Éric Charpentier, President of the Board of Directors, Chair of the Nomination and Remuneration Committee;
- Roland Burger, Vice President of the Board of Directors, Chair of the Audit and Risk Committee;
- Pierre Ahlborn, Director, member of the Nomination and Remuneration Committee;
- Sabine Schimel, Director, member of the Audit and Risk Committee;
- Sophie Maillard, Director, member of the Audit and Risk Committee;
- Jean-Albert Chaffard, Director;
- David Hérault, Director;
- Thierry Marais, Director, member of the Nomination and Remuneration Committee;
- Roger Hartmann, Director.
This arrangement ensures the continuity of the Board of Directors, allowing it to work effectively and meet the highest standards of corporate governance.
